"YOU" and "YOUR" refers to you as the "Advisor" applicant and "US" and "OUR" and "WE" refers to MyElderScore, Inc. and MyElderScore.com (hereinafter referred to as "MES"). Acceptance as an "Advisor" at MES is within our sole discretion. We utilize objective standards, as requested in the above application, to make our decision. If your application is not approved, no charges to your credit card will be processed. We do not have to state a reason for not accepting your application.

Your listing package may be upgraded at anytime by you and your membership listing will be automatically renewed on your annual anniversary of application unless we receive a written request of cancellation or downgrade of membership package request from you at least 60 days before your annual anniversary renewal date. You agree to provide current and accurate credit card information for billing purposes.

We assume no responsibility to provide referrals and there is no guarantee or warranty that you will receive referrals or contact information or sales from the users of MES to you. It is the decision of each individual MES user to hire you.

You agree to provide services upon request and mutual agreement with the individual users if you are contacted by them. Said services on your part shall conform to your highest industry standards and, at a minimum, to those stated by the Better Business Bureau Code of Business Practices (www.bbb.org).

Users of MES are encouraged to rate their interactions with you. These reviews will be utilized by other MES users in making their decision to hire you.

You do not work for MES and you are not an independent contractor of MES. You agree to notify MES of any changes to your licensure or certifications including suspension and/or revocation within 30 days of said change. You agree to notify MES if you convicted of any misdemeanor or felony. You agree to maintain your licenses and/or certifications as long as you are a MES Advisor.

You agree to remain a member in good standing of your licensing body while you are a MES Advisor. You agree to maintain the minimum errors and omissions and/or malpractice/liability insurance coverage that your licensing or governing body requires.

We reserve the right to terminate your membership, at our sole discretion, as a MES Advisor. If so, any unused membership fees will be refunded to you within 90 days on a prorated basis.

You acknowledge that the MES website and its content is copyrighted material and solely owned by MES. You are not authorized to utilize any material unless written permission has been granted.

You agree to indemnify, hold harmless and defend MES, its officers, managers, owners, employees, agents, designees, users, successors, assigns, service providers and suppliers from and against all losses, liabilities, expenses, damages, claims, demands and costs, including reasonable attorneys' fees and court costs due to or arising from: (a) any violation of this Agreement by You; (b) the Content or other information provided by You or a user to MES or that You submit, transmit or otherwise make available through MES; (c) Your use of the website; or (d) any violation of any rights of another or harm you may have caused to another. MES will have sole control of the defense of any such damage or claim.

This Agreement is governed by New York law and New York courts shall have jurisdiction over any claim brought against MES.

This Disclosure and Terms of Use may be amended form time to time by us without notification to you.
